Terms of Service
Effective date: 23 March 2026. Please read these terms carefully before using GatePass.
1. About GatePass
GatePass is an online event ticketing platform operated by GatePass Pty Ltd (ACN / ABN to be inserted) (“GatePass”, “we”, “us”, or “our”), incorporated in Australia. GatePass provides a marketplace that connects event organisers (“Organisers”) with ticket buyers (“Buyers”). By accessing or using GatePass, you agree to be bound by these Terms of Service (“Terms”).
GatePass acts solely as a disclosed agent for the Organiser. GatePass is not a principal to the transaction, is not the organiser of any event listed on the platform (unless expressly stated), and does not take title to any tickets. The contract for the purchase and attendance of any event is formed directly between the Buyer and the Organiser. GatePass facilitates the transaction on the Organiser’s behalf and is not responsible for the Organiser’s obligations under that contract.
2. Acceptance of Terms
By creating an account, purchasing a ticket, or listing an event on GatePass, you confirm that you are at least 18 years of age (or have the consent of a parent or guardian), have read and understood these Terms, and agree to be legally bound by them. If you do not agree, you must not use GatePass.
These Terms are governed by the laws of Victoria, Australia. You submit to the non-exclusive jurisdiction of the courts of Victoria and the Commonwealth of Australia.
3. Buyer Terms
3.1 Nature of the Contract
When you purchase a ticket through GatePass, you are entering into a binding contract with the Organiser, not with GatePass. GatePass acts as the Organiser’s disclosed agent in facilitating the transaction. The Organiser is solely responsible for delivering the event as advertised, including the date, time, venue, program, and any other material representations made in the event listing.
3.2 Ticket Purchases and Pricing
All prices displayed on GatePass are the total price you will pay. There are no additional booking fees, service charges, or delivery fees added at checkout. The GatePass platform fee is already included in the displayed price where the Organiser has elected to pass it on to the Buyer. What you see is what you pay.
3.3 Ticket Delivery
Tickets are delivered electronically to the email address you provide at checkout. Delivery typically occurs within 30 seconds of payment confirmation. Each ticket contains a time-based QR code that refreshes every 30 seconds. Screenshots of QR codes are not valid for entry. GatePass is not responsible for tickets sent to an incorrectly entered email address.
3.4 Ticket Transfers
Buyers may transfer tickets to another person using the GatePass transfer feature. Once a transfer is accepted by the recipient, the original ticket is invalidated. GatePass is not responsible for transfers made in error. Transferred tickets remain subject to the original event’s terms and conditions.
The ticket transfer feature is provided for genuine personal transfers only — for example, where a buyer is unable to attend and wishes to give their ticket to a friend or family member.
3.5 Resale Prohibition and Anti-Scalping Policy
Tickets purchased through GatePass may not be resold for a price above face value. Resale of tickets at above face value may be prohibited under applicable state legislation, including the Major Events (Ticket Scalping) Act 2018 (Vic) and equivalent legislation in other states. GatePass reserves the right to cancel tickets that have been resold in breach of this clause without refund.
Tickets transferred for monetary value above the original purchase price may be invalidated by GatePass at its discretion. GatePass does not facilitate or endorse ticket resale above face value. GatePass reserves the right to cancel tickets that it reasonably believes have been transferred for commercial gain and to suspend accounts engaged in systematic ticket resale.
3.6 Event Attendance
Admission to an event is at the discretion of the Organiser and venue. GatePass is not responsible for the Organiser’s or venue’s decision to refuse entry. Buyers must comply with all venue rules, age restrictions, and conditions of entry imposed by the Organiser.
3.7 Refunds and Cancellations
Your refund rights are governed by the Organiser’s stated refund policy and, where applicable, the Australian Consumer Law (Schedule 2, Competition and Consumer Act 2010 (Cth)) (“ACL”). The ACL provides consumer guarantee rights that cannot be excluded, restricted, or modified. Please refer to our Refund & Dispute Policy for full details.
In the event of a cancellation, GatePass will use reasonable endeavours to facilitate the refund process on the Organiser’s behalf. However, the Organiser remains solely liable for the refund obligation to the Buyer. GatePass’s facilitation of a refund does not constitute an assumption of the Organiser’s liability.
4. Organiser Terms
4.1 Eligibility
To list events on GatePass, Organisers must hold a valid Australian Business Number (ABN), complete the GatePass onboarding process, connect a Stripe account, and agree to Stripe’s Connected Account Agreement. GatePass reserves the right to refuse or revoke access to any Organiser at its discretion.
4.2 Organiser’s Responsibility for Events
The Organiser is solely responsible for delivering the event as advertised. This includes, without limitation, the event date, time, venue, program, performers, and all other material representations made in the event listing. GatePass makes no warranty or representation regarding the quality, safety, legality, or accuracy of any event listed on the platform.
Organisers must hold all necessary permits, licences, and insurance required to conduct the event, including but not limited to public liability insurance, liquor licensing, and any permits required by the relevant local council or state authority. Organisers must comply with all applicable laws, including workplace health and safety legislation and crowd management requirements.
4.3 Event Listings
Organisers are solely responsible for the accuracy of all event information. Organisers must not list events that are fraudulent, illegal, or in breach of any applicable law. GatePass reserves the right to remove any event listing at its discretion without notice.
4.4 Platform Fee
GatePass charges a platform fee of 6% + GST of the ticket face value (minimum $1.65 per ticket incl. GST). This fee is deducted automatically at the time of each transaction via Stripe Connect. Organisers may choose to absorb this fee or pass it on to the Buyer. The GatePass platform fee is non-refundable once a transaction has been processed, except where a refund is required due to event cancellation, in which case the platform fee is refunded to the Buyer and the Organiser bears the cost.
4.5 Payouts
Payouts to Organisers are processed via Stripe Connect. Tier 1 Organisers receive payouts within 7 business days of the event end date. Tier 2 Organisers (approved by GatePass) receive payouts within 2 business days of the event end date. GatePass reserves the right to withhold or delay payouts in cases of suspected fraud, chargebacks, pending refund obligations, or breach of these Terms.
For new Organisers (first two events on the platform), GatePass may apply a holding period of up to 72 hours after the event date before releasing the full payout, in addition to the standard payout timeline. This holding period provides a window to identify and process last-minute cancellation refunds before funds are disbursed.
For events with gross ticket revenue exceeding $15,000, GatePass may apply an extended holding period and an increased reserve percentage (see clause 4.6) regardless of the Organiser’s trust tier. Organisers will be notified of any such holding period at the time of event approval.
4.6 Payout Reserve
GatePass operates a tiered reserve system to protect against refund exposure arising from fast payout timelines. By listing an event on GatePass, the Organiser agrees that GatePass may retain a reserve from ticket sale proceeds in accordance with the following schedule:

The reserved amount sits in the Organiser’s connected Stripe balance but is flagged as unavailable until the release date. If a refund or dispute occurs, Stripe automatically draws from the reserved amount first. Reserves cannot be held for longer than 180 days from the date of the relevant transaction. The Organiser’s dashboard displays the current reserve percentage, the expected release date, and the split between the T+2 payout and the post-event settlement amount.
The Organiser authorises GatePass to apply any reserve held against refund obligations that arise after payout has been processed, and to debit the Organiser’s connected Stripe account for any shortfall as described in clause 4.8.
4.7 Cancellations and Changes
If an Organiser cancels an event or makes a major change (including a change of date, venue, or significant change to the event program), the Organiser is responsible for issuing full refunds to all affected Buyers in accordance with the ACL. GatePass will facilitate refunds through Stripe where possible. Organisers must notify GatePass immediately of any cancellation or major change by emailing [email protected].
The Organiser indemnifies GatePass against all costs, losses, and liabilities arising from any refund obligation triggered by the Organiser’s cancellation, postponement, or material change to an event, including but not limited to the cost of processing refunds, Stripe fees, chargeback fees, and any administrative costs incurred by GatePass in facilitating the refund process.
4.8 Clawback Rights
If a refund obligation arises after GatePass has already paid out funds to the Organiser (including where an event is cancelled after payout, where a chargeback is upheld, or where a Buyer is entitled to a refund under the ACL), the Organiser authorises GatePass to recover the refund amount by:
- Debiting the Organiser’s connected Stripe account for the amount of the refund and any associated fees;
- Offsetting the amount against future payouts owed to the Organiser; or
- Issuing a tax invoice to the Organiser for the amount owed, payable within 7 business days of the invoice date.
GatePass will provide reasonable notice before exercising clawback rights, except where the circumstances require immediate action (for example, where a chargeback has been initiated by a Buyer’s bank). The Organiser agrees to maintain sufficient funds in their connected Stripe account or nominated bank account to satisfy potential refund obligations.
4.9 Organiser Obligations
Organisers agree to: (a) hold all necessary permits, licences, and insurance required to conduct the event; (b) comply with all applicable laws; (c) not use GatePass to collect funds for events that will not proceed; (d) respond to Buyer inquiries within a reasonable time; and (e) maintain sufficient funds or authorise GatePass to hold a reserve sufficient to cover potential refund obligations, particularly given the accelerated payout timelines available under the Tier 2 payout programme.
5. Payments and Stripe
All payments on GatePass are processed by Stripe, Inc. (“Stripe”). By purchasing a ticket, you agree to Stripe’s Privacy Policy and Terms of Service. GatePass does not store your full card details. Payment processing fees (including credit card fees) are separate from the GatePass platform fee.
In the event of a disputed charge or chargeback, GatePass will cooperate with Stripe and the relevant financial institution to resolve the dispute. GatePass reserves the right to recover chargeback amounts and associated fees from Organisers where the chargeback arises from the Organiser’s conduct or the Organiser’s failure to deliver the event as advertised.
6. Intellectual Property
All content on the GatePass platform, including but not limited to the GatePass name, logo, software, design, and text, is owned by or licensed to GatePass and is protected by Australian and international intellectual property laws. You must not reproduce, distribute, or create derivative works from GatePass content without our prior written consent.
Organisers grant GatePass a non-exclusive, royalty-free licence to use event content (including event names, descriptions, and images) for the purpose of displaying and promoting events on the GatePass platform.
7. Limitation of Liability
To the maximum extent permitted by law, GatePass’s liability to you for any loss or damage arising from your use of the platform is limited to the amount you paid for the relevant ticket(s). GatePass is not liable for: (a) the conduct of Organisers or other users; (b) the cancellation, postponement, or modification of any event; (c) loss of enjoyment or disappointment; or (d) indirect, consequential, or special loss or damage.
Nothing in these Terms excludes, restricts, or modifies any right or remedy, or any guarantee, warranty, or other term or condition, implied or imposed by the Australian Consumer Law that cannot lawfully be excluded or limited.
8. Privacy
GatePass collects and handles personal information in accordance with its Privacy Policy and the Privacy Act 1988 (Cth). By using GatePass, you consent to the collection and use of your personal information as described in the Privacy Policy.
9. Prohibited Conduct
You must not use GatePass to:
- List, sell, or purchase tickets for events that are fraudulent, illegal, or do not exist;
- Create multiple organiser accounts using different ABNs or business names to circumvent the first-event free offer or the new-organiser reserve tier. The first-event free offer applies once per ABN. Creating multiple accounts to circumvent this constitutes a material breach of these Terms and may result in immediate account termination and recovery of any benefit obtained;
- Engage in ticket scalping or resale above face value;
- Impersonate another person or entity;
- Interfere with the operation of the platform or attempt to gain unauthorised access;
- Transmit spam, malware, or other harmful content;
- Violate any applicable law or regulation.
GatePass reserves the right to suspend or terminate accounts that breach this clause and to report conduct to relevant authorities where appropriate.
10. Modifications to Terms
GatePass may update these Terms from time to time. We will notify registered users of material changes by email at least 14 days before the changes take effect. Continued use of GatePass after the effective date of any changes constitutes acceptance of the updated Terms. The current version of these Terms is always available at gatepass.com.au/legal/terms.
11. Termination
GatePass may suspend or terminate your access to the platform at any time for breach of these Terms, suspected fraudulent activity, or for any other reason at its discretion. Upon termination, any outstanding obligations (including refund obligations and clawback rights under clause 4.8) remain in full force and effect.
